Terms of Use

v2.4 · October 27, 2026 · subject to formal legal review

These terms govern the use of Hades — Commercial Intelligence OS, also distributed as Call Copilot (“the product”), operated by Viccari Ads LTDA, a company registered in Brazil (CNPJ 47.356.569/0001-58) (“we”, “us”). By creating an account, you agree to these terms and to the Privacy Policy.

1. What the product is

Hades captures the audio of sales meetings, suggests what to say in real time during the conversation, and produces an analysis after it ends. It is a product under active development: new features ship often, and things may move or behave differently. If a change removes a feature you use, we will tell you before it happens.

We work to keep the product available at all times, but we do not yet offer a contractual uptime guarantee (SLA). If your plan ever includes an SLA, it will be written in the plan, not here.

2. Your account

You are responsible for keeping your password confidential and for everything that happens under your account. Let us know if you suspect unauthorized access. The account belongs to you, your company or your team — it cannot be resold, lent or shared with anyone who is not part of its workspace.

3. Telling the other side is the job of whoever runs the meeting

The product transcribes and analyzes what the person on the other side of the call says — your prospect, someone who has no account here and has not agreed to these terms. The audio used for the live transcript is not recorded or stored: it is turned into text while the conversation happens and then discarded. What is kept is the text and the analysis.

A meeting recording only exists when recording is turned on. The product records the meeting on video, with sound, only when you turn recording on for that meeting, or when your team manager makes it mandatory for you. You choose what goes into the video: the meeting window or the whole screen. The video stays on your computer or, when you or your manager choose to upload it, is stored by us up to your plan's recording hours. Past that limit, the oldest recordings are deleted, with 7 days' notice; the transcript and the analysis remain. In an English-language account, recording starts only after the product confirms, in the transcript, that the other side said yes to being recorded. If they say no, nothing is recorded.

None of this reduces your duty to tell them. In many places, transcribing or recording a conversation requires consent, and some US states — California, Florida, Illinois, Maryland, Massachusetts, Pennsylvania and Washington, among others — require the consent of all parties to the conversation, not just yours. By using the product in a meeting, you agree to tell the other side that the conversation is being transcribed and analyzed by an AI assistant and, when recording is on, that it is being recorded, and to obtain, wherever the law of your country or state requires it, the consent those people must give. That notice and that consent are your responsibility, not ours — we provide the tool, you run the meeting. If your manager made recording mandatory, the notice is still the job of whoever runs the meeting.

4. How we use the content of your meetings

We use the content of your meetings to deliver the service to you (transcription, live suggestions, post-call analysis, history) and also, in aggregate and across different accounts, to improve the product as a whole — for example, to refine the guidance the copilot gives in future meetings, including other accounts' meetings. The full detail, including who sees what and how long we keep it, is in the Privacy Policy.

5. Acceptable use

Do not use the product to transcribe meetings you have no right to transcribe, to process health data, children's data or any other sensitive category beyond what the Privacy Policy covers, or for any unlawful purpose.

6. Ownership

The content you enter (Business DNA, your own playbook) and the transcripts of your meetings remain yours. The software, the guidance model and the platform's default playbook belong to Viccari Ads.

7. Do not try to extract or copy what makes the copilot work

The instructions that guide the AI model, the platform's default playbook and the logic behind the analyses are ours, and they are not part of what your account gives you access to. You may not try to extract, infer or reconstruct them. This applies to any route: asking the copilot during a meeting, planting instructions in the transcript, reverse engineering or decompiling the app, intercepting traffic between the app and the server, or calling our APIs outside the app.

You also may not use the product, or the answers it generates, to train or feed another AI system, or to build a competing product.

A public comparison between Hades and another tool (benchmark, side-by-side test, performance evaluation) needs our written permission before it is published. Sharing your own experience with the product is always allowed. What this rule covers is a measurement published as a technical evaluation, which almost always comes from a test set up in a way nobody can check afterwards.

No bots, scripts or simulated meetings to generate answers in bulk. And do not work around your account's technical limits, such as usage caps, authentication and access control.

Extraction attempts are logged on our side, with date, account and what was attempted. Breaking this section is grounds for immediate suspension or termination of the account, without prejudice to any applicable legal action and to the penalty in section 10.

If you find a security flaw in the product, write to admin@hades-copilot.com.br before anything else, and do not go further than needed to demonstrate the problem. Anyone who reports through this channel is not violating this section: we want to know.

8. Plans, payment and renewal

The product is sold as a monthly subscription, on the plan chosen at purchase. The price, what each plan includes and each plan's usage limits are on the sales page and are part of these terms for your subscription.

Billing is handled by a third-party payment processor. The subscription renews automatically every month until you cancel. If a payment is not confirmed, we let you know and try again; if it stays unpaid, access is suspended until it is settled. Suspension for non-payment does not delete your data — it follows the retention rule in the Privacy Policy.

We may change plan prices. A price change only applies to you from the next renewal on, and we will give you at least 30 days' notice. If you do not agree, cancel before the renewal and you pay nothing for it.

9. Seven days to change your mind, 30-day guarantee and cancellation

7 days to change your mind. During the first 7 days after you subscribe, you can cancel for any reason, without explaining why. Just ask through the contact in section 14, and we refund everything you paid.

30-day guarantee. If you actually use the product during the first 30 days (real calls with the copilot running and your company's Business DNA filled in) and still do not see results in how you sell, we refund what you paid in that period. Ask through the contact in section 14, within the 30 days, and we will review the usage recorded in your account together with you before refunding. The usage condition exists because the product cannot produce results in an account that never ran a call with it.

Cancelling after that. You can cancel your subscription at any time, with no fee and no need to explain. Access continues until the end of the period you have already paid for, and there is no prorated refund for the remaining days of that period.

10. What happens to those who break these terms

Violating these terms leads to suspension or termination of the account, at our discretion and according to how serious it is. In the cases in section 7 (extraction, copying, reverse engineering, using the product to train another system or build a competitor), termination is immediate, with no refund for the current period.

In addition, for a violation of section 7 the parties agree in advance on a contractual penalty of BRL 50,000.00 (fifty thousand Brazilian reais) or 24 times the monthly fee of the contracted plan, whichever is greater. Under article 416, sole paragraph, of the Brazilian Civil Code, which governs these terms (section 13), the parties expressly agree that this penalty is a minimum: if the proven loss is higher, compensation covers the difference.

The material the product generates carries a technical marking per account, and extraction attempts are logged with date, account and content. That is how a leak is traced back to the account it came from, and that record may be used as evidence.

11. Limitation of liability

The product suggests and analyzes — the sales decision is still yours. We do not guarantee that any specific suggestion will lead to a better commercial result, and we are not liable for decisions made based on the copilot's suggestions. The guarantee in section 9 is about refunding what you paid, and that is its limit.

12. Termination

You can close your account at any time. We may suspend or close accounts that violate these terms. What happens to the data after the account is closed is described in the Privacy Policy.

13. Governing law and venue

These terms are governed by the laws of Brazil, where Viccari Ads is based. Anything that cannot be resolved by talking will be settled in the courts of the city where Viccari Ads has its registered office. Nothing in these terms takes away any right that the law of the place where you live grants you and does not allow to be waived by contract.

14. Contact

Questions about these terms, cancellation or guarantee requests: admin@hades-copilot.com.br.

15. WhatsApp connected to Hades

You can connect a WhatsApp number to the product: your team's number, an extra team number or a salesperson's personal number, to talk to contacts inside the dashboard, receive the leads from your ads and send follow-ups. The connection works as a linked device on WhatsApp, through a provider that is not the official Meta API. WhatsApp can limit, suspend or ban a number at any time, under its own rules and without prior notice, and neither we nor the provider can reverse that decision.

The risk goes up when the number sends many messages to people who do not know it, gets reported or is blocked often. The product sends nothing on your behalf without your approval, but how the number is used and what the messages say, including the ones that go out on their own after you approve them, are the responsibility of whoever connected the number and of the company that owns the account. Follow WhatsApp's rules and respect anyone who asks to stop receiving messages.

If the number is limited or banned, we are not liable for the loss of the number, the contacts or the sales, and the block on its own does not entitle you to a refund or a discount. The 7-day right and the guarantee in section 9 still apply as written. What was already stored in the product stays available. Before the first connection, the product shows a summary of this notice, and whoever connects the number must accept it; the acceptance is recorded with the date and the version.

16. Changes

This is version v2.4, of October 27, 2026. The first version of these terms in English was v1.8, of September 21, 2026; in v1.9 these terms did not change, and the Privacy Policy started describing the use of Google Calendar; in v2.0 and v2.1 these terms did not change either, and the Privacy Policy was rewritten to cover every way the product handles personal data and then the minimal copy of calendar events; v2.2, of October 8, 2026, changed section 3: the product can now record the meeting on video, only when recording is turned on, and the notice to the other side now includes the recording; v2.4 added section 15 (a WhatsApp number connected to the product and the risk to that number), and this section became section 16. It adapts the Portuguese document of the same version for customers who subscribe in US dollars: the Portuguese document also includes a creator program that only exists in Brazil, and it grounds the 7-day right in Brazilian consumer law, while here that right is our own commitment. For customers who subscribe through hades-copilot.com, this English version is the one that applies. The text has not yet been through formal legal review.

Relevant changes will create a new numbered version, and anyone who accepted an earlier version will be notified.
